On October 1, 2026, a subsidiary of 5E Advanced Materials, Inc. (Nasdaq: FEAM) completed its purchase of the main operating assets of Searles Valley Minerals in San Bernardino County, California. The sellers had filed for Chapter 11 protection on June 15, 2026, and 5E was named the successful bidder in the court supervised sale on September 14.
Until now 5E has been a development company. Its own Fort Cady boron project in the Mojave Desert produces boric acid at a small scale facility, and the company reported no revenue for the fiscal year ended June 30, 2026. The Searles assets come with production plants that are already running.

What 5E Bought
According to the purchase agreement, the assets include all real property owned by the sellers: the Argus, Westend and Trona production facilities, about 9,000 acres of Searles Lake brine resources, the Trona Railway short line, the water facilities that serve the plants and the neighbouring Trona community, and related machinery, inventory and permits. The sellers' cash and certain contracts were excluded.
In its September 15 press release, 5E said the business produces refined borates, boric acid, sodium sulfate and salt, and described Searles Valley as one of two operating borate production complexes in the United States. The company also noted that boron was added to the Department of the Interior's Critical Minerals List in 2025.

What 5E Paid
The consideration had three parts, plus assumed liabilities:
- Cash: about $3.4 million, including a $300,000 deposit paid at signing.
- Shares: 8.3 million shares of 5E common stock, of which 312,500 are to be issued later once the sellers deliver specified deeds. At the October 5 close of $3.92, 8.3 million shares were worth $32.5 million.
- Seller note: a senior unsecured promissory note of about $6.2 million, issued to lenders of the sellers. It accrues interest at 14.5% a year, paid in kind by adding to principal, requires a cash payment of about $1.2 million after 24 months, and matures after five years.
- Assumed liabilities: specified liabilities tied to the assets, including environmental, reclamation and regulatory obligations that the filing says are expected to stay with the new owner.
The assets were bought "as is, where is." The sellers' representations and warranties do not survive closing except for intentional fraud, and the agreement provides no indemnification from the sellers to 5E.

How the Closing Was Funded
On the closing date the acquiring subsidiary entered a $10.0 million senior secured bridge facility with Karnavati Holdings, Inc., guaranteed by the parent and secured by substantially all of the subsidiary's assets. Of that, $7.0 million was funded at closing, with the rest available once specified conditions are met. The bridge accrues 8.00% interest, paid in kind, carries a $1.0 million fee payable at maturity, and matures 270 days after closing, which is late June 2027.
The company said it expects to report $15.7 million of cash at September 30, 2026, and $19.6 million after giving effect to the closing transactions. Both figures are preliminary and unaudited.

Where 5E Stood Before the Deal
The annual report filed on September 17 shows the starting point. For the year ended June 30, 2026, 5E reported a net loss of $42.9 million and used $19.0 million of cash in operations. It ended the year with $19.5 million of cash, up from $3.8 million, after raising $42.3 million through financing activities. Its auditor's report includes a going concern paragraph, citing no revenue, recurring losses and the need to secure additional financing within twelve months.

The Share Count
The number of shares has more than doubled in about a year. The 10-K filed in September 2025 reported 22.4 million shares outstanding. The 10-K filed in September 2026 reported 41.6 million. After the Searles closing, the company reported 49,634,871 shares outstanding, an increase of 121% from September 2025 and 19% from the September 2026 cover alone.

Risks
- Short dated secured debt. The bridge matures 270 days after closing and is secured by substantially all of the acquired assets. Refinancing or repaying it is the first test.
- Going concern. The annual report carries a going concern paragraph, written before the acquisition added an operating business with its own costs.
- Inherited obligations. Environmental, reclamation and regulatory obligations are expected to stay with the new owner, and the assets came with no seller indemnification.
- Dilution. The share count is up 121% in about a year, and the company has agreed to register the 8.3 million consideration shares for resale.
- Against the neutral read. The assets came through a court supervised sale for a small cash outlay, and they give a company with no revenue operating plants, a railroad and brine resources in a mineral the government now lists as critical.

The Desk's Read: Neutral
5E has changed what kind of company it is in a single filing. It now owns working plants, and the price in cash was small. What the plants earn and cost is not yet in the public record: the company has said it will file the acquired business's financial statements and pro forma figures by amendment within 71 days of the closing report. Those numbers, and the plan for the bridge that comes due in mid 2027, will decide whether this was a bargain or a burden.
